• The Company operates as a business-to-business (B2B) provider, supplying medical equipment primarily to healthcare professionals and educational researchers. The Company primarily serves independent physician-owned medical practices, which represent approximately 80% of total revenue. In addition, the Company supplies medical devices to large hospital networks with operations across the US.

Real Estate:
• The Company operates out of four facilities, totaling a combined 9,400 sq. ft., located in Western, US and Europe. Two facilities are leased from an unrelated third party and two are leased from an affiliated entity. The facilities owned by an affiliated will not be included in the sale; however, management is willing to negotiate a long-term lease agreement.

Shareholder Ownership:
